1. Acceptance

By accessing or using the Agent Platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the service.

2. Service Description

Agent Platform is an AI-powered chat assistant SaaS platform operated by Applied Software Group LLC, an Illinois limited liability company. The platform allows subscribers to create, configure, and embed AI chat assistants on their websites.

3. Account Registration

You must provide accurate information when registering. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the platform to:

  • Upload or distribute illegal, harmful, or infringing content
  • Abuse, harass, or deceive end users through your AI assistant
  • Attempt to reverse-engineer, scrape, or circumvent platform security
  • Resell or sublicense the platform without written authorization from Applied Software Group LLC
  • Use the service for spam, phishing, or fraudulent purposes
  • Violate any applicable local, state, or federal law
  • Interfere with the platform's infrastructure or other subscribers' use of the service

5. Subscription and Billing

Access to the platform requires a paid subscription. Pricing is set by Applied Software Group LLC and may be updated with 30 days' advance notice. Subscriptions renew automatically unless cancelled.

6. No Refunds

All payments are final and non-refundable. We do not offer refunds for partial periods, unused features, or cancellations. You may cancel at any time and retain access through the end of your paid period.

7. Intellectual Property

You retain ownership of all content you upload to the platform. By uploading content, you grant Applied Software Group LLC a limited license to process and store that content solely for the purpose of operating your assistant. Applied Software Group LLC retains ownership of the platform, its code, and all associated intellectual property.

8. Suspension and Termination

We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or any activity that threatens the security or integrity of the platform. We will provide notice where reasonably practicable.

9. Limitation of Liability

To the maximum extent permitted by law, Applied Software Group LLC's liability to you for any claim arising from use of the platform is limited to the total fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

10. Disclaimer of Warranties

The platform is provided "as is" without warranty of any kind. We do not warrant that AI-generated responses will be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing and validating AI outputs before relying on them.

11. Governing Law

These Terms are governed by the laws of the State of Illinois, USA. Any disputes shall be resolved in the courts of Cook County, Illinois.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the service after changes constitutes acceptance.
